OFFICIAL CONTEST RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED. The FDJ French Dressing Jeans: “Women Who Shape Our Lives” Contest (the “Contest”) begins at 12:00:01 Eastern Standard Time on October 1, 2010 and ends at 11:59:59 PM Eastern Standard Time on December 10, 2010 (the “Contest Period”).

1) ELIGIBILITY:

The Contest is open to legal residents of the 50 United States and the District of Columbia (excluding Guam, Puerto Rico, and all other U.S. and foreign territories and possessions) and all provinces of Canada (collectively, the “Eligibility Area”) who are 21 years of age or older at the time of entry and have the ability to enter into valid contracts in their personal jurisdiction of residence (“Participants”). Only individuals may enter; no entry from any corporation or other entity shall be accepted. The Contest is Void outside of the Eligibility Area and where otherwise taxed, prohibited or restricted. Employees and directors of French Dressing Jeans (“FDJ”) and their affiliates, subsidiaries, advertising, promotion, fulfillment, marketing agencies, public relation firms, consultants and contractors, their immediate families (defined as spouse, child, sibling, parent or grandparent) and those living in their same households are ineligible to participate in the Contest. By participating in the Contest, Participants, finalists, and voters agree to these Official Rules and to the decisions of FDJ, which are final and binding in all respects.

2) HOW TO SUBMIT A NOMINATION:

To submit a nomination, visit the website contest.fdj.ca between 12:00:01 Eastern Standard Time on October 1, 2010 and 11:59:59 PM Eastern Standard Time on December 10, 2010 (the “Contest Period”), and submit the following as your nomination:   

(i) an original still photograph of a living individual that you consider to be a “Woman who shaped our lives” and
(ii) a short description of the individual’s contribution in helping to improve the lives or living conditions of others or a contribution in making the world a better place.

Photograph cannot exceed 10 MB.  All nominees must be female, at least 40 years of age and a legal resident of the 50 United States and the District if Columbia (excluding Guam, Puerto Rico, and all other U.S. and foreign territories and possessions) and all provinces of Canada. Each Nominee must hold a valid passport from their country of origin and must be willing and able to travel. If required, each Nominee must have a doctor’s certificate confirming their ability to travel. PLEASE NOTE:  Before submitting a nomination, each Participant must have or obtain the right and permission to submit the Nominee’s name, likeness, and story in connection with this Contest.

All submissions must be complete to qualify. The nomination materials must not have been copied in whole or in part from any other. No changes to any materials or information are permitted once the nomination has been submitted. All nominations become the property of FDJ and will not be acknowledged or returned. Participants may submit more than one (1) Nominee, but each Nominee must be submitted as a separate entry. Nominations that do not conform to these Official Rules or are received by FDJ after the end of the Nomination Period will be discarded and deemed VOID. Proof of entering the Contest online will not be deemed to constitute proof of delivery or receipt of nominations by FDJ. FDJ is not responsible for technical failures in transmission of nominations. A nomination and its related materials shall be deemed void in the sole discretion of FDJ if it: (a) contains any product or service endorsement, commercial tie-in, or any material deemed offensive; (b) might subject FDJ to regulatory or legal action; or (c) violates any law, infringes the rights of any person, or could subject FDJ or to liability for any reason.

3) ORIGINAL WORK:

Each Participant represents and warrants that: (i) his/her submission is an original work and that the Participant is the sole author with the full power to submit the same and to grant the licenses herein to FDJ; and (ii) he/she has obtained all necessary rights and permission from his/her Nominee to submit the individual’s name, likeness, and story in connection with this Contest. Participants may not submit information, pictures, images or other materials that violate the intellectual property, proprietary, or privacy rights of others. Each Participant hereby waves any opportunity or right to inspect his/her submission and/or the final product in which it may be used or incorporated. Each Participant hereby releases FDJ from all claims now or thereafter existing which may arise from any use, non-use, or editing of the Participant’s submission. By submitting a nomination, the Participant grants to FDJ a perpetual, irrevocable, nonexclusive, royalty-free license to use, reproduce, display, distribute, publish, modify and create derivative works from the Participant’s submission in any media now known or hereafter developed. Upon request by FDJ, Participant and the individual nominated by Participant, will provide written consent to the foregoing in a form provided by FDJ.

4) JUDGING & CRITERIA FOR SELECTON OF SEMI-FINALIST and FINALISTS:

The top 20 Nominees receiving the most on-line public votes will be considered “semi-finalists”. When the contest ends, a panel composed of Celebrity Judges will select five (5) finalists from among the 20 semi-finalists. Submissions will be judged based on the following criteria: (i) The Nominee’s overall contribution in helping others, and (ii) overall impact at inspiring and motivating others. All decisions of the judging panel are final.

Once a Nominee is selected as a finalist, she will be notified by FDJ via email and/or telephone. If the finalist fails to respond within 72 hours, another finalist will be chosen.

5) PUBLIC VOTING FOR TOP 20 SEMI-FINALISTS:

Following verification of the Nominee’s eligibility by FDJ, they will be posted at contest.fdj.ca to allow the public to vote for the individual that is making the most significant contribution in helping others.  Public voting will begin at 12:00:01 Eastern Standard Time on October 1, 2010 and ends at 11:59:59 PM Eastern Standard Time on December 10, 2010 (the “Contest Period”).  LIMIT ONE VOTE PER PERSON PER EMAIL ADDRESS PER DAY.  Voters must be legal residents of the Eligibility Area and be 21 years of age or older at the time of voting.

6) GRAND PRIZE:

The twenty (20) semi-finalists that receive the most eligible votes during the Contest Period will receive a pair of FDJ jeans. The five (5) finalists as selected by the celebrity judge panel, will receive an all-expense paid, 3-day trip for two to Montreal, Canada. Expenses refer to air and/or ground travel to and from Montreal (value based on average cost of furthest and closest gateway city from Montreal at time of estimate), 3 meals per day, 3 day (2 nights) 4/5 star hotel accommodations, ground transportation to and from the photoshoot location, 1-day professional photoshoot, FDJ wardrobe (2000$ retail value) and a $1,000 donation to the charity of their choice. All travel, meals, accommodations, and transportation shall be arranged by FDJ. All other expenses, related or unrelated to the GRAND PRIZE will not be eligible unless preapproved by FDJ. The total Grand Prize is valued at 4500$, not including the 1000$ donation.

7) PRIZE AWARDING; WINNER ANNOUNCEMENT:

The Grand Prize will be awarded only upon vote validation and verification by FDJ.  The Grand Prize winners will be notified on or about December 15th, 2010, and the Grand Prize winners’ names will be posed on contest.fdj.ca  on or about December 20th, 2010.  No substitution, transfer, or assignment of the prize will be permitted, except that FDJ reserves the right, in its sole discretion, to substitute the prize with either the cash value of the prize that would have been awarded, or a prize of equal or greater value.  If the potential Grand Prize winners do not respond by email, or by phone within three (3) days of being contacted by FDJ, is ineligible, or fails to claim the prize, the prize will be forfeited and an alternate winner will be selected by the judges from among the remaining eligible submissions using the criteria set forth above.  Acceptance of the prize constitutes permission for FDJ, and their respective affiliates to use the Grand Prize winners’ names, likeness and biographical information for advertising and promotional purposes without compensation, unless otherwise prohibited by law.  Where permitted by law, the Grand Prize winner will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release within ten (10) days of notification (or return the signed forms within ten (10) days of receipt), or the winner may be disqualified and the prize awarded to an alternate winner selected by the judges from among the remaining eligible submissions using the criteria set forth above.

THE PRIZE WILL BE AWARDED.  The prize may not be combined with any other offer.  The winner will be solely responsible for all applicable taxes, fees, insurance, shipping costs (if required) and/or any other expenses associated with acceptance and/or taking delivery of the prize.  By accepting the prize, the winner waives the right to assert, as a cost of winning said prize, any and all costs of redemption of said prize and any and all liability that may arise from redeeming or seeking said prize.

8) DISQUALIFICATION:

The use of robotic, automatic, macro, programmed or like methods to vote is strictly prohibited. FDJ is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other error of any kind whether human, mechanical, or electronic. Persons found tampering with or abusing any aspect of this Contest, as solely determined by FDJ, will be disqualified and will not be allowed to participate. If disqualified for any of the above abuses, FDJ reserves the right to terminate the person’s eligibility to participate in this and future contests or sweepstakes offered by FDJ. Any attempt to damage any website of FDJ or tamper with or undermine the legitimate operation of the Contest, is a violation of these Official Rules as well as criminal and civil laws. FDJ reserves the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law. In the event any portion of this Contest is compromised by any virus, bugs, non-authorized human intervention or other causes beyond the control of FDJ which, in the sole opinion of FDJ, corrupts or impairs the administration, security, fairness or proper play of the Contest, FDJ reserves the right, at its sole discretion, to suspend or terminate the Contest. In no event will more prizes be awarded than the ones listed above.

9) LIMITATION OF LIABILITY:

By participating in the Contest, Participants, finalists, and voters (i) agree to these Official Rules, and to the decisions of FDJ, which shall be binding and final in all respects; and (ii) acknowledge that FDJ has not made nor is in any manner responsible or liable for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the prize. By participating in the Contest, each participant, finalist, and voter releases FDJ, and their respective officers, directors, employees, affiliates, subsidiaries, marketing partners, advertising, promotion, fulfillment, marketing agencies, travel agencies, vendors, public relation firms, consultants and contractors from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons (including death) and property which may be sustained in connection with the receipt, ownership, possession, use of misuse of the prize, or arising out of participation in this Contest, or while preparing for, participating in, and/or traveling to and from taking delivery of the prize or any prize-related activities. FDJ expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prize awarded. IN NO EVENT WILL FDJ OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, ADVERTISING, PROMOTION, FULFILLMENT, MARKETING AGENCIES, PUBLIC RELATION FIRMS, CONSULTANTS, TRAVEL AGENCIES, VENDORS OR CONTRACTORS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCEPTANCE, POSSESSION. USE OR MISUSE OF THE PRIZE AWARDED IN CONNECTION WITH THIS CONTEST, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH AND/OR PROPERTY DAMAGE, AS WELL AS ANY CLAIMS BASED ON PUBLICITY RIGHTS OR INVASION OF PRIVACY. No responsibility is assumed by FDJ for the following: lost, late, incomplete, stolen, misdirected, illegible, inaccessible, corrupted or unusable submissions or votes; incorrect or inaccurate online or printed information relating to the Contest (including typographical errors); and computer, telephone, cable, network, Internet or other hardware or software malfunctions, interruptions, failures, connections or availability; or unauthorized human intervention.

10) GENERAL INFORMATION:

Any litigation respecting the conduct or organization of this publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling of Québec (RACJ). Any litigation respecting the awarding of the prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Any and all disputes in connection with this Contest will be resolved solely and exclusively in the appropriate federal or provincial courts in the Province of Quebec and the parties hereby waive any and all objections to jurisdiction and venue therein and hereby summit to the jurisdiction of those courts. Should there be a conflict between the laws of the Province of Quebec, any and all lawsuits or other disputes that arise relating to this Contest must be filed within one (1) year from the date that the Grand Prize winner is announced. The failure of FDJ to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force.

11) PRIVACY:

All personal information provided by Participants, finalists, and voters to FDJ and as part of this Contest is subject to FDJ’s Privacy Policy, located at www.fdj.ca, except for publicity purposes or other reasons related to the contest and whose use is listed above.
